1. Acceptance of Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Client,” “User,” or “you”) and Infospire IT (“Infospire IT,” “we,” “us,” or “our”) governing the use of our website, and, where applicable, the provision and use of our Managed IT Services, consulting services, and any other product or service offered by Infospire IT. By accessing our website, engaging in discussions for services, or signing a Master Service Agreement (MSA) or Statement of Work (SOW), you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Services Agreement Hierarchy

Where a separate, written MSA or SOW is executed between you and Infospire IT, the terms and conditions within that MSA or SOW shall supersede these general website Terms in the event of any conflict regarding the provision of specific IT services. These general Terms remain in full effect for all website use and general corporate matters not specifically addressed in the MSA or SOW.

3. Client Responsibilities

  • Cooperation: The Client agrees to provide timely access to all necessary information, credentials, and physical or remote access to systems as required by Infospire IT to perform the services outlined in the SOW or MSA. Delay caused by the Client’s failure to cooperate may result in revised deadlines or additional charges.
  • Compliance: The Client is solely responsible for ensuring its business operations and use of the services comply with all applicable local, state, and federal laws, including data privacy and security regulations.
  • Licensed Software: The Client warrants that it holds valid licenses for all software and operating systems on its systems. Infospire IT is not responsible for any liability arising from the Client’s use of unlicensed software.

4. Intellectual Property and Use of Website

  • Our IP: All content on the Infospire IT website, including text, graphics, logos, images, software, and compilation of the same, is the property of Infospire IT or its suppliers and protected by copyright and intellectual property laws. You are granted a non-exclusive, non-transferable, revocable license to access and use the website strictly in accordance with these Terms.
  • Service-Related IP: Any processes, documentation, or custom software developed by Infospire IT during the execution of a paid project shall be governed by the ownership clauses specified in the corresponding SOW.

5. Limitation of Liability and Indemnification

Limitation of Liability: In no event shall Infospire IT, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage. Our total liability to the client for any claim arising out of or relating to these Terms or the services provided shall not exceed the amount paid by the client to Infospire IT for the services in the six (6) months preceding the event giving rise to the liability.

Indemnification: You agree to indemnify and hold harmless Infospire IT and its affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including, but not limited to, attorney’s fees) arising from (i) your use of and access to the website or services; (ii) your violation of any term of these Terms; or (iii) your violation of any third-party right, including without limitation, any privacy or intellectual property right.6.
